Transactional Privacy
Data is critical to our clients’ business operations. Our clients come to us for help protecting and leveraging data, while navigating compliance in a complex and evolving legal and regulatory landscape.
We advise companies on transactions in which data is core to the deal. Representing a broad range of companies—from startups to Fortune 50 multinationals on both the seller/licensor and buyer/licensee sides of the table—we handle commercial transactions, mergers and acquisitions, technology integrations, and other strategic collaborations.
Our transactional experience, combined with our deep knowledge in privacy and security law, positions us to handle all aspects of a transaction, from leading inquiries into data flows, to assessing appropriate compliance responsibilities for each party, to negotiating and drafting agreements that reflect appropriate allocations of responsibility and liability. This wide range of agreements includes those pertaining to software development, product distribution, cloud services, platform and application program interface (API) integration arrangements, joint development, ad network and analytics services, data processing, and consumer-facing terms and licensing, among many others.
We also represent companies in divestment and acquisition deals. Our team is skilled at conducting diligence, drafting representations and related disclosure schedules, and leading negotiations. We advise our clients on privacy and security-related compliance gaps, provide risk assessments, and recommend mitigation measures. Our attorneys bring a practical, business-oriented mindset to each deal, always mindful of the twin goals of protecting clients’ interests and signing and closing the deal.
