Sarah E. Ross has extensive experience in managing public company reporting obligations, including drafting and filing periodic reports, proxy statements, and registration statements. Sarah has advised on numerous public and private equity raises, including initial public offerings (IPOs) and follow-on offerings, and has led the drafting of transaction agreements.
Sarah’s work also extends to corporate governance, where she has drafted and maintained key documents such as insider trading policies and committee charters. She has assisted clients with business combination transactions, including mergers and acquisitions and capital markets deals, and has managed the initial listing process with stock exchanges. She has also reviewed and revised annual reports and proxy statements, advised on corporate governance matters, and coordinated with new Section 16 filers.
