Associate Kirby Thornton has experience representing public and private companies in a variety of corporate matters, including technology and intellectual property transactions, mergers and acquisitions, private equity infusions, private offerings, corporate governance and entity formations.
Kirby has extensive experience drafting corporate agreements for transactions including mergers, asset purchases and stock purchases, as well as investors' rights agreements and right of first offer and co-sale agreements. She has also drafted marketing and agency agreements, manufacturing and supply agreements and trademark, patent, copyright and domain name assignment agreements.
In addition, Kirby's background includes trust and estate planning work, including client counseling, preparing tax-efficient administration documents and implementing estate freezing transactions.
