Sean focuses his practice in the private equity and investment funds space, with an emphasis on debt finance and fund formation.
Sean Phelan regularly counsels private equity sponsors, financial institutions and various public, private and portfolio companies in the structuring, negotiation and documentation of multifaceted finance transactions, including the following:
- Merger and acquisition financings
- Leveraged buyouts
- Senior, subordinated and mezzanine financings
- First, second and split lien financings
- Syndicated and unitranche loans
- Loan workouts and restructurings
In addition to his finance practice, Sean counsels sponsors, investors and other market participants in the formation of, and investment in, various investment vehicles, including venture funds, debt funds, funds of funds and hedge funds.
Prior to joining Perkins Coie, Sean represented institutional investors, investment banks, developers and lenders in domestic and cross-border Regulation S and Rule 144A offerings of debt securities, project and solar financings, credit tenant lease financings and secured lending transactions.
